About the role:

• Drafting and, if necessary, negotiating agreements or other documents (including investment contracts)
• Performing legal due diligence on investment objects.
• Reviewing documents related to portfolio companies’ daily governance (bylaws, Articles of Association, management and employment agreements, shareholder resolutions, etc.).
• Carrying out KYC and implementing AML measures. Analysing legal issues relating to SmartCap’s activities and preparing reports or summaries.
• Drafting documents relating to SmartCap’s internal corporate governance (draft decisions, resolutions, internal regulations, meeting minutes, etc.).
• Resolving day-to-day legal issues and advising staff on legal matters.
• Analysing documents and providing legal assessments, summaries and/or additions.
• Performing other legal tasks as assigned by the Management Board or the Head of Legal.

About you:

• Master’s degree or equivalent in law (or be currently pursuing one).
• Practical experience in providing legal services, preferably in the financial sector.
• In-depth knowledge of private law areas such as civil law, law of obligations, commercial and company law, and related regulations and practices.
• General knowledge and overview of financial law, preferably in relation to investment funds or other investment areas.
• Fluent written and verbal communication skills in Estonian and English.
